About the Role

This part-time opportunity is for experienced Corporate Transactions Attorneys with strong M&A experience and hands-on expertise in drafting, reviewing, negotiating, and redlining transactional agreements.

You will apply your legal judgment to simulated contract workflows and evaluate AI-generated responses for accuracy, risk identification, contractual interpretation, and overall legal quality. Your feedback will help improve AI systems designed to support real-world legal work.

What You’ll Do

  • Perform simulated contract negotiations and redlining exercises.

  • Review and assess AI-generated responses to corporate transaction scenarios.

  • Identify legal, drafting, interpretation, and risk-related issues in model outputs.

  • Provide clear, actionable feedback to improve response quality and precision.

  • Develop objective evaluation frameworks and grading criteria for contract-related tasks.

  • Apply consistent legal standards when assessing AI performance.

  • Collaborate with product and research teams to refine evaluation guidelines, data, and best practices.

  • Translate practical transactional experience into structured feedback suitable for AI evaluation.

What We’re Looking For

  • J.D. from an ABA-accredited law school.

  • Active bar admission in at least one U.S. jurisdiction.

  • At least 2 years of experience in the M&A department of a corporate law firm.

  • Strong familiarity with standard M&A agreements, including:

    • Stock Purchase Agreements (SPAs)

    • Asset Purchase Agreements (APAs)

  • Strong contract drafting, negotiation, review, and redlining experience.

  • Exceptional written and verbal communication skills.

  • Meticulous attention to detail and strong analytical judgment.

  • Ability to translate complex legal reasoning into clear, actionable feedback.

  • Ability to work effectively with cross-disciplinary teams in fast-paced environments.

  • Interest in the intersection of law, technology, and AI.

Preferred Experience

  • Prior experience with AI, legal technology, or professional training initiatives.

  • Experience advising or working with private equity firms.

  • Broader experience across complex corporate transactions.

Engagement & Compensation
